you accept and agree to be bound by

Cancellation or Change Order
Orders are firm upon receipt of your
order by Liste Rouge. Liste Rouge
declines any responsibility in a case
of mistake or omission on your order.
For the first order, Liste Rouge first
makes one shirt, no matter how many
shirts you have ordered. If the shirt
meets your approval, Liste Rouge proceeds
with the rest of the order. If not,
you may send back the shirt to Liste
Rouge, which will proceed to necessary
modifications.
If you want all the shirts ordered
at one time, Liste Rouge may charge
you if you ask modifications on your
shirts.
Cancellations and change of orders,
for any reason whatsoever, must be
done within 2 days after placing the
order. They shall require a confirmed
acceptance in writing by Liste Rouge.
In a case of order cancellation, whether
partial or total, you will be charged
for all work already done and expenses
incurred by Liste Rouge.
Price
Only those prices which are specified
on www.listerouge-paris.com shall
be binding on Liste Rouge.
Payment
The total amount of the order is due
and payable at the time of placing
the order.
Payments are to be made in U.S. Dollars.
You shall reimburse Liste Rouge for
all costs of collecting overdue amounts,
including reasonable attorney's fees
and expenses. If you fail to make
any payment in accordance with the
price or these Terms of Use, or if
there is any change in your credit
standing, or for any other reason
deemed good and sufficient by Liste
Rouge, Liste Rouge may, in its sole
discretion and without incurring any
liability therefore, cancel any order
or orders, require you to give such
security as Liste Rouge may specify
to insure payment or require payment
in advance. All costs and expenses
incurred by Liste Rouge as a result
of its exercise of any right or option
under this paragraph shall be for
your account.
Anticipation and Interest
You will be required to pay interest
on an overdue invoice at the rate
of eighteen percent (18%) per annum
or the rate charged by factor, if
any, from time to time, whichever
is higher.
Taxes
The prices stated herein may not include
any city, state or federal taxes on
manufacture, sales, use, and the like.
Wherever applicable, a separate charge
can be made for such taxes, to be
paid by you whether noted in www.listerouge-paris.com
or subsequently.
Trademarks
Liste Rouge is a registered trademark
of Liste Rouge SA and/or its subsidiaries
("Parent"). Parent owns
all rights in and to all graphics,
logos, pictures, scripts and goods
names of Liste Rouge. Liste Rouge's
trademarks, graphics or logos may
not be used without a prior written
agreement of Parent.
Copyright
All content included on www.listerouge-paris.com,
including text, graphics, logos, design,
photographs, button icons, images,
audio/video clips, digital downloads,
data compilations and software, is
property of Liste Rouge, Inc. or its
Parent and is protected by United
States and international copyright
laws.
Electronic Communications
When you visit www.listerouge-paris.com
or send e-mails to us, you are communicating
with us electronically. You consent
to receive communications from us
electronically. We will communicate
with you by e-mail or by posting notices
on this site. You agree that all agreements,
notices, disclosures and other communications
that we provide to you electronically
satisfy any legal requirement that
such communications be in writing.
Delivery
Items are delivered within 3 to 4
weeks. If, for any reason, the delivery
should take longer, Liste Rouge will
inform you. If the delivery should
take more than 6 weeks, you may cancel
your order within 10 days of the receipt
of the delay notification by Liste
Rouge.
Delivery shall be subject to and contingent
upon strikes, labor difficulties,
riot, war, governmental interference
or embargoes, fires, floods, accidents,
acts of God, force majeure, shortages
of fuel, power, materials or supplies,
transportation delays, or any case
beyond the control of Liste Rouge.
All deliveries are subject to restrictions
imposed from time to time by government
and customs regulation, order or directive.
In the event of such delay, Liste
Rouge shall have the option to extend
the time for delivery of a period
equal to the number of days of such
delay.
Returns
If you are not satisfied, or if there
is a damage in the fabric weave, you
may be asked to return the shirt to
rectify the problem. However, because
of the nature of the shirts in particular,
Liste Rouge's guarantee is limited
to questions of manufacturing, and
not your choice, taste or inaccuracy
in measurements you have sent. Liste
Rouge shall not be liable for shirts'
wear and tear or any damage due to
negligence or non-respect of washing
recommendations. All returns shall
be made at Liste Rouge's New York,
New York Office within 30 days of
receipt.

and "as available" basis.
Liste Rouge makes no representation
warranties of any kind with www.listerouge-paris.com
and its content. Liste Rouge assumes

Liability of Liste Rouge
In the event of a breach or repudiation
by Liste Rouge hereunder, the aggregate
amount of recovery, judgment, or award
you may obtain against Liste Rouge
hereunder shall not exceed the price
of the goods described on www.listerouge-paris.com.
The right to recover the said price
of the goods shall constitute your
sole and exclusive remedy.
Claims
Liste Rouge shall not be liable for
normal production defects or for customary
variations to anticipate shrinkage
and other modifications. You will
make a thorough examination of each
good promptly after arrival, and in
any event before the goods are used
or altered in any manner. You will
give immediate written notice to Liste
Rouge of any claims of defects or
inferior quality, or any other condition
giving rise to a claim, and will afford
Liste Rouge reasonable opportunity
to examine the goods. Pending such
examination by Liste Rouge, the good
shall not be used, or altered in any
manner whatsoever, and if you shall
use, or alter the good, this shall
constitute an unqualified acceptance
of the same, and Liste Rouge shall
have absolutely no responsibility
in respect to them. Failure to follow
strictly the procedures established
by this paragraph shall constitute
a waiver of any claim of defect.
Arbitration
Any dispute, controversy, or claim
arising out of or relating to the
placing of an order or the performance
hereof or the goods provided hereunder
shall be referred to, and determined
and settled by, arbitration in accordance
with the Rules of Practice and Procedure
then obtaining of the American Arbitration
Association, sitting in New York City.
You and Liste Rouge hereby consent
and submit to the jurisdiction of
the Supreme Court of New York and
agree that the said Court may issue
such orders or judgments as may be
necessary to compel arbitration hereunder
or to enforce any award made by the
arbitrators. You and Liste Rouge further
agree that any process or notice of
application or motion to such Court
or a Judge thereof may be served outside
the State of New York by certified
mail or by personal service or in
any other manner permitted by the
Civil Practice Law and Rules of the
State of New York. The authority of
the arbitrator is expressly subject
to the provisions of paragraph "Liability
of Liste Rouge" of these Terms
of Use, which shall control.
Law Controlling
The contract formed by the placing
of an order shall be governed and
construed in accordance with the Laws
of the State of New York.
Separability
Each of the provisions of these Terms
of Use is separable. In the event
that any of the said provisions hereof
shall, for any reason, be held to
be void or unenforceable the remaining
provisions shall remain in full force
and effect, and shall control.
